Terms of Service

You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it current.

Do not misuse the Services, attempt to breach security, or use them unlawfully. We may suspend access for violations.

Fees for the Services are set out in your order form, statement of work, or master services agreement (the “Order”). Unless the Order states otherwise: fees are invoiced by Vinpro Global LLC, or, for India-delivered services, Vinpro Global Services Pvt Ltd, in the currency stated in the Order; for EOR and payroll services the customer funds employee salaries, statutory contributions, taxes, benefits and approved expenses in advance of each pay cycle, in addition to Vinpro's management fees; and invoices are payable within the period stated in the Order, or, if none, within 7 days of the invoice date.

Fees are exclusive of applicable taxes such as GST, VAT and sales tax, which the customer bears unless a valid exemption is provided. Late or missing payment may result in suspension of the Services or the withholding of payroll runs and statutory filings, together with interest on overdue amounts at the rate permitted by law. Except where required by law, fees are non-refundable once the relevant service period or payroll cycle has begun.

Our handling of personal data is described in the Privacy Policy and, for customer personal data we process, our Data Processing Agreement.

We retain all rights in the Services and our content. You retain rights in your data.

The Services, including any calculators, templates, AI-assistant outputs, and compliance information, are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Vinpro disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Vinpro does not provide legal, tax, accounting, or immigration advice; information provided through the Services is general and must not be relied on as professional advice.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Except for liabilities that cannot be limited under applicable law, a party's breach of its confidentiality obligations, its indemnification obligations, and the customer's obligations to pay fees and to fund payroll, each party's total aggregate liability arising out of or related to the agreement is limited to the fees paid or payable by the customer to Vinpro for the Services in the twelve (12) months preceding the event giving rise to the claim.

These Terms apply for as long as you use the Services or have an active Order. Either party may terminate an Order as set out in that Order; if no term is stated, either party may terminate for convenience on thirty (30) days' written notice, and either party may terminate for the other's material breach not cured within thirty (30) days of written notice.

On termination or expiry: the customer remains responsible for fees and payroll or statutory obligations accrued up to the effective date and for any in-progress payroll cycle or EOR-worker notice-period obligations; access to the Services ends; and Vinpro will, on request, return or delete Customer Data in accordance with the Data Processing Agreement and applicable legal retention requirements, including statutory payroll, tax, and employment records. Provisions that by their nature should survive, including those on fees, confidentiality, intellectual property, disclaimers, limitation of liability, and governing law, survive termination.

The governing law and forum depend on the contracting Vinpro entity. Where the Services are contracted with Vinpro Global Services Pvt Ltd (India), these Terms are governed by the laws of India and the courts at Chennai, Tamil Nadu have exclusive jurisdiction. Where the Services are contracted with Vinpro Global LLC (United States), these Terms are governed by the laws of the State in which that entity is organised, and the state and federal courts located in that State have exclusive jurisdiction.

A signed Order or master agreement may specify a different governing law, jurisdiction, or arbitration procedure, which will control. Each party submits to the applicable jurisdiction and waives objections to venue.
